1. Definitions

1. “Company” means The Greenhouse Pro Limited (company no. 14343519) whose registered office is 23 Taverham Road, Felthorpe, Norwich, NR10 4DR.
2. “Customer” means the person, firm or company who purchases Goods or Services from the Company.
3. “Goods” means any greenhouse, accessory or part supplied by the Company.
4. “Services” means any survey, delivery, installation, repair or other service provided by the Company.
5. “Contract” means the contract between the Company and the Customer for the sale and purchase of Goods and/or Services, incorporating these Terms & Conditions.

2. Basis of Sale

2.1 All orders for Goods and Services (whether placed via the website or by email/phone) are subject to these Terms & Conditions.
2.2 No variation to these Terms & Conditions shall have effect unless expressly agreed in writing by a Director of the Company.
2.3 The Customer’s order constitutes an offer to purchase, and the Company shall confirm acceptance by issuing an Invoice or Quotation.

3. Price and Payment

3.1 All prices are quoted in GBP and include VAT at the prevailing rate where applicable.
3.2 Website orders (goods only):
Full payment for Goods is taken at the time of checkout via Stripe. Installation services are quoted separately, and you will be contacted with details following your order if applicable.
3.3 Local sales and/or services (e.g. delivery, installation, repairs):
A 25% deposit is required to secure your order. The remaining balance is due:

• Prior to delivery, if the Goods are supplied directly from the manufacturer; or
• On completion of installation or services, if the Company is directly involved.

3.4 Accepted payment methods: bank transfer or major UK debit/credit cards. Where a deposit is required under section 3.3, it may be paid by bank transfer or card. To help keep prices competitive, we kindly ask that the remaining balance be paid by bank transfer where possible.
3.5 If any amount due under the Contract is not paid on time, the Company may:

• Charge interest at 4% above the Bank of England base rate, compounded monthly; and/or
• Suspend further deliveries or Services until payment is received.

4. Order Processing & Confirmation

4.1 The Company will confirm orders by email or phone and issue a detailed Quotation.
4.2 The Quotation sets out: description of Goods/Services, prices, estimated delivery dates, payment terms, and these Terms & Conditions.
4.3 Any discrepancy between the Quotation and these Terms & Conditions shall be queried before the start of any work or dispatch of Goods.

5. Delivery & Risk

5.1 Delivery is to UK mainland only, unless otherwise agreed in writing.
5.2 Goods are delivered:

• Direct from the manufacturer (greenhouses) via their vehicles;
• By the Company’s vehicles for local delivery/installation;
• By courier for small/accessory orders.

5.3 Risk in the Goods passes to the Customer on delivery. Title remains with the Company until full payment is received.
5.4 The Customer is responsible for ensuring that the delivery and/or installation site is accessible, safe, and suitably prepared (including level foundations where required). If delivery or installation cannot proceed due to site conditions, access issues, or safety concerns beyond the Company’s control. The Company reserves the right to charge a reasonable call-out fee — or retain part or all of any deposit paid — to cover costs such as time, travel, fuel, loading/unloading, storage, or rescheduling.

6. Cancellation

6.1 Standard (non‑custom) orders:

• The Customer may cancel within 14 days of order for a full refund (excluding any delivery costs incurred).
  6.2 Custom/bespoke orders:
• Orders for bespoke greenhouses or made‑to‑measure products cannot be cancelled once production has commenced.
• If cancellation is agreed, any costs incurred (manufacturing, labour, materials) will be deducted from any refund.

7. Returns & Refunds

7.1 Accessories/off‑the‑shelf items:

• May be returned within 14 days of delivery, unused and in original packaging.
• Customer is responsible for return shipping; a 10% restocking fee may apply.

7.2 Greenhouses & custom‑made items:

• No “change of mind” returns. Faulty Goods are handled under the manufacturer’s warranty (see clause 8).

8. Warranty & Manufacturer’s Guarantees

8.1 Each Product is supplied with the standard warranty provided by its manufacturer.
8.2 The Company will facilitate any valid warranty claims by liaising with the manufacturer on the Customer’s behalf.
8.3 The Company gives no separate warranty in respect of Goods beyond that offered by the manufacturer.

9. Limitation of Liability

9.1 Nothing in these Terms & Conditions limits the Company’s liability for death or personal injury arising from its negligence or for any other liability which cannot be limited under applicable law.
9.2 Subject to clause 9.1, the Company’s total liability in contract, tort (including negligence), breach of statutory duty or otherwise shall not exceed the price paid by the Customer under the relevant Contract.
9.3 The Company shall not be liable for any consequential, indirect, or special losses including loss of profit, revenue, or business interruption.

10. Force Majeure

10.1 The Company shall not be liable for any failure or delay in performing its obligations where that failure or delay results from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil commotion, pandemic, labour disputes, delays in supply by manufacturers, strikes, fire, flood, storm, or government action.
10.2 If the Force Majeure event continues for more than 30 days, either party may terminate the Contract by giving written notice, without liability except for payment for Goods delivered or Services performed up to the date of termination.

11. Intellectual Property

11.1 All intellectual property rights in drawings, designs, brochures, website content, and other materials provided by the Company remain the Company’s property.
11.2 The Customer may not copy, reproduce or exploit such materials without the Company’s prior written consent.

12. Data Protection & Privacy

12.1 The Company processes personal data in accordance with its Privacy Policy, available at https://thegreenhousepro.co.uk/privacy-policy/.
12.2 By placing an order, the Customer consents to the Company using their data to fulfil the Contract and for marketing (unless they opt out).

13. Third‑Party Rights

13.1 A person who is not a party to this Contract has no right to enforce any term of it (Contracts (Rights of Third Parties) Act 1999).

14. Variation of Terms

14.1 The Company reserves the right to amend these Terms & Conditions at any time.
14.2 Updated Terms will be published on the website; continued use of the site or placing of orders constitutes acceptance of the revised Terms.

15. Governing Law & Jurisdiction

15.1 These Terms & Conditions and any Contract to which they apply shall be governed by and construed in accordance with English law.
15.2 The parties agree to submit to the exclusive jurisdiction of the English courts.
